Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and KYTConnect, Inc. ("KYTConnect," "we," "our," or "us") governing your access to and use of the KYTConnect platform, website, APIs, and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

Government Users. If you are accessing the Services as an employee or representative of a government agency, your use may be subject to additional terms specified in your agency's service agreement with KYTConnect. In the event of a conflict between these Terms and your agency agreement, the agency agreement will control.

Authorized Representatives. If you are acting on behalf of a vehicle owner, lienholder, dealer, or other party, you represent that you have the legal authority to act on their behalf with respect to the title transactions you initiate through the Services.

Account Creation. To access the Services, you must create an account by providing accurate and complete registration information. You agree to keep your account information current and accurate at all times.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@kytconnect.ky.gov if you become aware of any unauthorized use of your account.

Identity Verification. Certain features of the Services require identity verification through state-issued identification. You consent to KYTConnect verifying your identity through state motor vehicle databases and other verification services as necessary to comply with state regulations.

Account Suspension. We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised, that you have violated these Terms, or as required by law.

KYTConnect provides a digital platform for managing vehicle title records, including but not limited to:

Title Management. Viewing, storing, and managing digital representations of vehicle title records sourced from state motor vehicle systems.

Title Transfers. Initiating and processing vehicle title transfers between parties in accordance with applicable state regulations.

Title Verification. Verifying the status and authenticity of vehicle titles through integration with state databases and the National Motor Vehicle Title Information System (NMVTIS).

Lien Management. Viewing and managing lien information associated with vehicle titles as reported by participating lienholders.

API Access. Programmatic access to KYTConnect functionality through our REST API, subject to the applicable rate limits and usage terms for your plan tier.

The Services are designed to complement, not replace, official state motor vehicle titling processes. KYTConnect digital title records are representations of official state records and do not independently constitute legal title to a vehicle.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Misrepresent Information. Provide false, misleading, or fraudulent information in connection with any title transaction, account registration, or identity verification process.

Unauthorized Access. Attempt to access accounts, systems, or data that you are not authorized to access, or circumvent any security measures or access controls.

Interfere with Services. Engage in any activity that disrupts, degrades, or interferes with the functioning of the Services, including introducing malware, conducting denial-of-service attacks, or overloading our infrastructure.

Scraping and Automation. Use automated tools, bots, or scripts to access the Services except through our official API and in compliance with the applicable rate limits.

Resale. Resell, redistribute, or sublicense access to the Services or any data obtained through the Services without our prior written consent.

Violation of Law. Use the Services in violation of any applicable federal, state, or local law or regulation, including motor vehicle titling laws, consumer protection laws, and data protection regulations.

Plan Tiers. The Services are offered under multiple plan tiers (Free, Pro, and Enterprise) with different features, usage limits, and pricing. Current plan details are available on our Pricing page.

Fees. Paid plans are billed in advance on a monthly or annual basis. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by law.

Payment. You authorize us to charge your designated payment method for all applicable fees. If a payment fails, we will provide notice and a reasonable cure period before suspending access to paid features.

Price Changes. We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' notice.

Taxes. Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Services, excluding taxes based on our net income.

KYTConnect IP. The Services, including all software, design, text, graphics, interfaces, and underlying technology, are owned by KYTConnect and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use the Services as described herein.

Your Content. You retain ownership of any content you submit to the Services, including documents, notes, and communications. By submitting content, you grant KYTConnect a non-exclusive, worldwide license to use, store, and process that content as necessary to provide the Services.

Vehicle Title Data. Vehicle title records processed through the Services originate from state motor vehicle databases. Ownership and control of official title records remains with the applicable state agency. KYTConnect's license to process this data is governed by our agreements with each state.

Feedback. If you provide suggestions, ideas, or feedback about the Services, we may use that feedback without restriction or obligation to you.

As-Is Basis. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Data Accuracy. While KYTConnect strives to ensure the accuracy of title records displayed through the Services, we do not warrant that all information is complete, current, or error-free. Title records are sourced from state databases and are subject to the accuracy and timeliness of those systems.

Availability. We do not guarantee uninterrupted or error-free access to the Services. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Third-Party Services. The Services may integrate with or link to third-party services (including state motor vehicle systems, payment processors, and identity verification providers). We are not responsible for the availability, accuracy, or practices of third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Exclusion of Damages. IN NO EVENT WILL VECTITLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

Liability Cap. VECTITLE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VECTITLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Exceptions. The limitations in this section do not apply to liability arising from (a) KYTConnect's gross negligence or willful misconduct, (b) death or personal injury caused by KYTConnect's negligence, or (c) any liability that cannot be excluded under applicable law.

Government Users. For government agency users, liability limitations are subject to applicable sovereign immunity laws and the terms of the applicable agency agreement.

You agree to indemnify, defend, and hold harmless KYTConnect and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Your use of the Services in violation of these Terms; (b) Any title transaction you initiate through the Services; (c) Your violation of any applicable law or regulation; (d) Any content you submit to the Services; or (e) Your infringement of any third-party rights.

This indemnification obligation does not apply to government agency users to the extent prohibited by applicable sovereign immunity laws.

By You. You may terminate your account at any time through your account settings or by contacting us at support@kytconnect.ky.gov. Upon termination, your right to access the Services will cease immediately. Prepaid fees for unused portions of annual plans will not be refunded.

By KYTConnect. We may suspend or terminate your access to the Services at any time for cause, including violation of these Terms, non-payment, or as required by law. Where practicable, we will provide advance notice before termination.

Effect of Termination. Upon termination, your account data will be handled in accordance with our Privacy Policy. Vehicle title records maintained on behalf of state agencies may be retained as required by applicable record-keeping laws.

Survival. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution will survive termination of these Terms.

Governing Law. These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles.

Informal Resolution. Before initiating formal proceedings, you agree to first contact us at legal@kytconnect.ky.gov to attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days.

Jurisdiction. If informal resolution is unsuccessful, any legal action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Franklin County, Kentucky, and you consent to the personal jurisdiction of such courts.

Government Users. Dispute resolution provisions for government agency users are governed by the applicable agency agreement and relevant sovereign immunity statutes.

If you access the Services through our API, the following additional terms apply:

API Keys. You are responsible for securing your API keys. Do not share API keys publicly or embed them in client-side code. Compromised keys should be rotated immediately.

Rate Limits. API usage is subject to the rate limits associated with your plan tier. Exceeding rate limits may result in throttling or temporary suspension of API access.

Permitted Use. The API may be used to integrate KYTConnect functionality into your own applications and workflows. You may not use the API to build a competing service or to aggregate data for resale.

Availability. While we strive for high API availability, we do not guarantee a specific uptime SLA for Free or Pro plans. Enterprise plans may include uptime commitments as specified in the applicable service agreement.

Versioning. We may release new API versions from time to time. Deprecated API versions will be supported for a minimum of 12 months following the deprecation notice.

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website, updating the "Last Updated" date, and, for registered users, providing notice via email or an in-platform notification at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may terminate your account.

Entire Agreement. These Terms, together with our Privacy Policy and any applicable agency agreement, constitute the entire agreement between you and KYTConnect regarding the Services.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. KYTConnect may assign these Terms in connection with a merger, acquisition, or sale of assets.
